1. Agreement to Terms

These Terms and Conditions of Sale ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Nimax Electronics ("we", "us", or "our"), governing your access to and purchase of consumer electronics and accessories through https://nimax.co.ke, phone orders, and WhatsApp business messaging. Nimax Electronics operates online only with nationwide courier delivery — there is no physical shop at this time.

By browsing our website, placing an order, or making a payment, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy and Return & Warranty Policy.

2. Eligibility & Account Responsibilities

  • You must be at least eighteen (18) years of age or possess the express consent of a parent or legal guardian to make a purchase on this website.
  • If you create an account, you are responsible for maintaining the confidentiality of your username and password and for restricting access to your computer or mobile device.
  • You agree to provide accurate, current, and complete information during checkout, including correct recipient names, mobile numbers, and delivery addresses. Nimax Electronics accepts no liability for delayed or misrouted deliveries resulting from erroneous customer input.

3. Product Catalog, Accuracy & Pricing

  • Genuine Product Guarantee: Nimax Electronics deals exclusively in genuine, brand-new stock (plus vetted Ex-UK/Ex-US refurbished phones, clearly identified as such). We maintain a zero-tolerance policy against counterfeit electronics. Nimax Electronics is not an authorized retailer or partner of any brand named on this site — products are sourced and sold as genuine stock, not under any brand-authorization or partnership arrangement.
  • Pricing Currency: All prices displayed on our website are stated in Kenya Shillings (KES) and are inclusive of applicable taxes, including Value Added Tax (VAT), unless explicitly stated otherwise.
  • Price Changes: Prices are subject to revision without prior notice due to prevailing currency exchange shifts, manufacturer updates, or seasonal promotions. Once an order is confirmed and paid, the price for that transaction is fixed.
  • Clerical & Pricing Errors: While we make every effort to display accurate specifications and pricing, errors may occasionally occur. If an item is mistakenly listed at an incorrect price, Nimax Electronics reserves the right to cancel or decline the affected order prior to physical dispatch, promptly refunding any funds already transmitted.

4. Orders, Payment & Contract Formation

  • Order Placement: Submitting an order through our checkout constitutes an offer to purchase. An order is deemed accepted only when we issue an official order confirmation via SMS, Email, or WhatsApp, and full payment (or an agreed commitment deposit) is verified.
  • Payment Method — Pay on Delivery: Nimax Electronics does not publish a till or paybill number. Payment is made in cash or via M-Pesa send-money at the point of delivery or order completion.
    • Within Nairobi: full payment is made on delivery.
    • Upcountry orders: a small commitment/delivery fee is payable upfront; for orders outside Nairobi valued at Ksh 50,000 or more, a 50% deposit is required before dispatch.
  • Never send money to a personal phone number that is not the number Nimax Electronics has given you directly for that specific order.

5. Delivery, Title & Risk of Loss

  • Nairobi Delivery: 2-hour delivery window within Nairobi via dedicated rider service. Standard rate Ksh 300 for small items; bulk items are recalculated.
  • Countrywide / Upcountry Delivery: Handled by courier partners G4S, Wells Fargo, Speedaf, and PSV parcel services — next day for major towns, 2 days for hardship/remote areas.
  • Transfer of Risk: Risk of loss and damage to goods transfers to the customer at the moment the parcel is physically handed to the customer or their authorized agent (local rider), or upon delivery/collection from the courier parcel depot (third-party courier).
  • Inspection Upon Receipt: Customers are strongly advised to inspect the outer packaging in the presence of the courier/rider before signing the delivery acceptance note. If physical damage, tampering, or broken seals are evident, the package must be rejected immediately, and Nimax Electronics notified within twelve (12) hours.

6. Warranty Terms & Manufacturer Disclaimers

All warranty provisions, claim procedures, and warranty durations are governed by our standalone Return, Refund & Warranty Policy. Nimax Electronics's own warranty is deliberately narrow: 1 year software-only cover on phones, and a 1-week post-delivery testing window on all accessories — it does not cover general hardware defects on phones after the same-day DOA window. Please read the full policy before purchase.

Nimax Electronics honors statutory consumer rights under the Consumer Protection Act, 2012 (Laws of Kenya), in addition to (not instead of) the specific commitments above.

7. Returns, Refunds & Cancellations

Return eligibility, dead-on-arrival (DOA) inspection timelines, and refund protocols are detailed in our Return & Warranty Policy. Where a refund applies, it is channeled back to the original payment source (bank-to-bank, or M-Pesa-to-M-Pesa) within 1 working day of approval.

8. Limitation of Liability

To the maximum extent permitted under Kenyan law:

  • Nimax Electronics shall not be held liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use any electronic product purchased, including loss of data, loss of business revenue, or downtime.
  • In all circumstances, Nimax Electronics's total cumulative liability arising from any order, whether in contract, tort, or warranty, shall not exceed the actual purchase price paid by the customer for the specific product in dispute.

9. Intellectual Property

All content, product naming systems, graphics, logos, user interfaces, and software code published on https://nimax.co.ke are the exclusive intellectual property of Nimax Electronics or its brand licensors, protected under the Copyright Act (Cap. 130) and the Industrial Property Act of Kenya. Reproduction without prior written authorization is strictly prohibited.

10. Governing Law & Dispute Resolution

  • Governing Law: These Terms and any dispute arising out of or related to our transactions shall be governed by, construed, and interpreted in accordance with the Laws of the Republic of Kenya.
  • Amicable Settlement: In the event of any grievance, dispute, or claim, the parties agree to first attempt resolution through good-faith amicable negotiation by contacting our team at sales@nimax.co.ke or +254798880065.
  • Jurisdiction: If amicable settlement is not achieved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the competent Courts of Law located in Nairobi, Kenya.

11. Amendments & Modifications

We reserve the right to amend these Terms at any time to reflect changing statutory standards, market dynamics, or operational expansions. Updated Terms will be posted directly to this page with an updated "Last Updated" date. Continued use of the platform after updates constitutes acceptance of the modified Terms.
